Official Rules

1. NO PURCHASE NECESSARY TO ENTER OR TO WIN.: The TBS & Pine-Sol Powerful Difference Awards Contest (“Contest”) is open to all legal residents of the 48 contiguous United States and D.C., age 18 years or older as of July 27, 2008 (nominations may be submitted by participants age 18 or older), except employees (and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same household, whether or not related) of Superstation, Inc. (“TBS”), The Clorox Company (“Pine-Sol”) (collectively, the “Sponsors”), and their respective parents, subsidiaries, affiliates, divisions, trustees, franchisees, participating vendors, distributors, and advertising and promotion agencies (collectively, with the Sponsors, the "Contest Entities") are not eligible to enter or win. Void outside of the 48 contiguous United States and wherever prohibited or restricted by law. No entries from Guam, Puerto Rico and/or any other U.S. Territories will be accepted. Contest is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Contest, participants agree to accept and be bound by all terms of these Official Rules and Regulations (“Official Rules”) and understand that they and/or their Submissions (as defined below) may appear in television, internet, print media and/or radio coverage of the Contest. Sponsors reserve the right to verify eligibility of any participant.

2. HOW TO ENTER: From 12:00p.m. Eastern Time (“ET”) on August 1, 2008 until 11:59p.m. ET on September 5, 2008 (the “Entry Period”), Sponsors will conduct a Contest encouraging each participant to nominate a deserving woman (the “Nominee”) in his/her community for an opportunity to win a prize. During the Entry Period, a participant must: (i) log on to www.tbs.com (the “Website”), beginning at 12:00p.m. Eastern Time (“ET”) on August 1, 2008 and complete and submit the online entry form, including his/her name, address, telephone number (including the area code), e-mail address (if any), birth date, the Nominee’s name, participant’s relationship to the Nominee, the participant’s telephone number (including area code), the Nominee’s e-mail address (if any), the name of and type of non-profit (including volunteer and/or community programs that qualify for 501(c)(3) status) in which the Nominee is presently, actively involved; and (ii) submit an essay of 200 words or less (the “Essay") explaining how the Nominee positively impacts the community, why she deserves to receive the prize and one (1) specific example of how the Nominee has worked to improve her neighborhood (the online entry form and the Essay will be referred to collectively as the “Submission”). Organizations with which Nominees are involved must serve the general public and may not discriminate against any group in the services they provide. Organizations run by faith-based (church or religious) institutions are eligible if the institution is open to the general public. Organizations listed on the entry must be a nonprofit or not-for-profit organization, in operation for at least one (1) year and have 501(c)(3) status. The selected organization must be able to provide official documentation of its status such as Incorporation verification or D.B.A. certificate, Financial Records (tax returns or other documents), or affidavit from the Board of Directors and/or administrative team. Online Submissions must be submitted using the uploading instructions located on the Website. Participants can also submit their Submission by mail by sending their Essay (legibly handwritten or typed), word count and their name, address, telephone number (including the area code), e-mail address (if any), birth date, and the Nominee’s name, his/her relationship to the Nominee, the name of and type of volunteer or community program in which the Nominee is involved, in an envelope with proper postage affixed to: TBS & Pine-Sol’s Powerful Difference Contest Entry, P.O. Box 385, Florham Park, NJ 07932. Limit one (1) entry per outer mailing envelope. All Submissions must be in English. Submissions received that are illegible or incomplete will be disqualified. Submissions deemed lewd or inappropriate, in Sponsors’ sole discretion may be disqualified.

To be eligible each online Submission must be received no later than 11:59 p.m. ET on September 5, 2008, and each mailed Submission must be postmarked by September 5, 2008 and received by September 13, 2008. All Submissions become the property of the Sponsors and will not be acknowledged or returned. A participant may nominate more than one (1) Nominee so long as each nomination is a separate unique entry, meets all Entry requirements and if submitted by mail is in a separate envelope. A Nominee may be nominated multiple times so long as each nomination is from a different participant/nominator, is an original Entry, meets all other entry requirements and is submitted separately. Participant warrants and represents (a) he/she is the sole and exclusive owner of the Submission and all rights therein; (b) he/she has the full and exclusive right, power and authority to submit the Submission and to grant the Contest Entities the rights to the Submission herein granted upon the terms and conditions set forth herein; (c) no part of the Submission has been published or otherwise used in any way; (d) no rights in the Submission have been previously granted to any person, firm, corporation or other entity or otherwise exercised or made use of or encumbered in any way; and (e) his/her Submission does not defame or invade publicity rights or the privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights. Sponsors reserve the right in their sole discretion to disqualify any Submission at any time in the event it is determined such Submission is false, offensive, inappropriate, not in keeping with Sponsors’ images or if it is determined that the participant has not otherwise complied with these Official Rules. If the Submission contains any material or elements that are not owned by the participant and/or which are subject to the rights of third parties, the participant is responsible for obtaining, prior to submission of the Submission, any and all releases and consents necessary to permit the use and exhibition of the Submission by Sponsors in the manner set forth in these Official Rules, including, without limitation, the name and likeness permissions from any person who appears in or is identifiable in the Submission. Sponsors reserve the right to request proof of these permissions in a form acceptable to Sponsors from any participant at any time. By submitting a Submission, participant warrants and represents that he/she and any persons who are identifiable in the Submission consent to the submission and use of the Submission in the Contest in the manner set forth in these Official Rules. The Released Parties (as defined below) are not responsible for misdirected, delayed, incomplete, inaccurate, lost, late, illegible, undeliverable or postage-due Submissions, technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions, intellectual property theft or other unauthorized use of intellectual property, or other errors or problems which may limit or affect a person’s ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing or judging of Submissions, the announcement of the prize or in any Contest-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsors’ control, which corrupt the integrity, administration, security or proper operation of the Contest, Sponsors reserve the right, in their sole discretion, to modify, cancel or suspend the Contest (or a portion thereof). In the event of cancellation, Sponsors reserve the right to judge all eligible, non-suspect Submissions received prior to the event requiring such cancellation using the judging procedure outlined below. False or deceptive Submissions or acts will render the participant ineligible. A participant hereby acknowledges and agrees that the relationship between participant and Sponsors is not a confidential, fiduciary, or other special relationship, and that participant’s decision to submit his/her Submission to Sponsors for purposes of the Contest does not place Sponsors in a position that is any different from the position held by members of the general public with regard to elements of participant’s Submission. By entering this Contest, participant acknowledges and agrees that Sponsors may create on its own or obtain many Submissions under this Contest and that such Submissions may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or other contests staged and/or sponsored by Sponsors, and waive any and all claims participant may have had, may have, and/or may have in the future, that any Submissions and/or other works accepted, reviewed and/or used by other participants and/or Sponsors (or their designees) may be similar to participant’s Submission. Participant acknowledges and agrees that Sponsors have no, nor shall have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to participant’s Submission.

3. JUDGING: One (1) Nominee will be the grand prize winner (the “Grand Prize Winner”). Grand Prize Winner will be selected by a panel of qualified judges (“Judges”) on or around September 30, 2008 from among all eligible Submissions received during the Entry Period based on the following judging criteria: 33% creativity, 33% dedication to the volunteer/community organization, and 34% overall inspirational content of the Submission (the “Judging Criteria”). In the event of a tie, tied entrants will be re-judged based solely on overall impact on the community. The decisions of the Sponsors and Judges will be final and binding in all matters. The Grand Prize Winner will be notified by U.S. mail, e-mail and/or telephone and must meet all eligibility requirements including the timely execution and return of all necessary releases and documents required by Sponsors.

4. GRAND PRIZE: One (1) Grand Prize Winner will receive: (i) a three (3) day/two (2) night trip for two (2) to Miami, FL. The trip shall include: (a) round-trip coach class air transportation for two (2) from a major U.S. gateway airport nearest Grand Prize Winner’s residence to a Miami, FL area airport, (b) round-trip airport/hotel transfers between the airport and The Delano hotel in Miami, FL; (c) two (2) nights standard hotel accommodations (one room, double occupancy) at The Delano hotel in Miami, FL; (d) two (2) spa treatments for the Grand Prize Winner only (spa treatments to be selected from a list provided by Sponsors); (e) dinner for two (2) at a restaurant in the Miami, FL area (alcohol and gratuity not included) (not to exceed a total of Two Hundred Fifty Dollars ($250); and (f) a shopping spree at the shops on Lincoln Road for the Grand Prize Winner only in the amount of One Thousand Dollars ($1,000); and (ii) twelve (12) bottles of Original Pine Sol® brand cleaner. The volunteer or community organization of the Grand Prize Winner’s choice will also receive a check in the amount of Five Thousand Dollars ($5,000), which shall be issued in the name of the selected organization (as approved by Sponsors). TOTAL ARV OF PRIZE (1 PRIZE): Four Thousand Six Hundred Sixty Dollars ($4,660). Actual value of Grand Prize may vary based on point of departure and airfare fluctuations. If the Grand Prize Winner resides within a 100-mile radius of Miami, FL, ground transportation may be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. The Grand Prize Winner is responsible for all costs and expenses not expressly provided for above, including, without limitation, additional ground transportation, additional meals, incidentals, tips, telephone calls, souvenirs, other personal expenses and hotel charges incurred during the trip. All travel arrangements must be made through Sponsors’ agent on a carrier of Sponsors’ choice and trip must be booked a minimum of forty-five (45) days in advance. Dates are subject to availability and certain black-out dates and other travel restrictions may apply. Sponsors reserve the right to approve any travel dates and trip must be taken by December 31, 2009. Sponsors are not responsible for any expenses incurred as a consequence of flight delay or cancellation. Seat selection and timing of trip subject to availability and confirmation of reservations. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Once travel commences, no stopovers are permitted; if stop over occurs, full fare will be charged from stopover point for the remaining segments, including return, of the trip. Any additional expenses not listed in the prize description are the Grand Prize Winner’s responsibility. No substitution or transfer of prize or cash redemptions permitted by the Grand Prize Winner. Sponsors reserve the right to substitute for any reason whatsoever the prize (or portion thereof) of comparable or greater value, at their sole discretion. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsors. The Grand Prize Winner is responsible for the reporting and payment of any and all federal, state and local taxes as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. All prize details are at Sponsors’ sole discretion.

5. GENERAL RULES AND REGULATIONS: By entering this Contest and/or accepting the prize, participants grant Sponsors and their designees the right, unless prohibited by law, to use their names, cities and states of residences, voices, performances, pictures and likenesses (including recorded media coverage), without compensation, notification or approval, for the purpose of advertising, promotional and other purposes, in any manner or medium, now or hereafter known, throughout the world in perpetuity. Grand Prize Winner’s travel companion must be a legal US resident and of legal age of majority in his/her state of residence (and at least age 18). The Grand Prize Winner and travel companion must travel together on the same itinerary, including the same departure date, destination and return date, and must have valid travel documents (e.g., photo ID) prior to departure. Failure to do so will result in forfeiture of prize. The potential Grand Prize Winner and travel companion (travel companion is only required to complete the Release of Liability) will be required to complete, sign and return, a notarized Affidavit of Eligibility/Release of Liability/Assignment of Rights, tax acknowledgment form and, except where prohibited by law, a Publicity Release (“Grand Prize Winner Documents”) and return within five (5) business days of issuance of notification. Noncompliance within this time period or failure of such potential Grand Prize Winner to respond to a notification attempt within five (5) business days of such attempt may result in disqualification and, at Sponsors’ discretion, a runner-up will be declared the potential Grand Prize Winner. If: (i) any prize notification is returned as undeliverable, (ii) the potential Grand Prize Winner declines his or her prize; or (iii) the potential Grand Prize Winner fails to comply with any of the Official Rules as outlined herein, he/she will be disqualified and, at Sponsors’ discretion, a runner-up will be declared the potential Grand Prize Winner. With respect to the participants’ Submissions, participants hereby irrevocably grant Sponsors and their designees the non-exclusive, perpetual, universal right to use their Submissions, in whole or in part, alone or in combination with other material, or as a basis for new material, as Sponsors may determine in their sole discretion, and to use the Submission in connection with the Contest and related advertising and promotion or otherwise, but not as a direct endorsement of any product or service. Without limiting the generality of the foregoing, participants agree that the rights granted hereunder shall include, but not be limited to, the perpetual, universal right of Sponsors and their designees to use, edit, telecast, cablecast, rerun, record, publish, reproduce, license, print, distribute and/or otherwise exploit, in any language and in all media now known or hereafter devised, the Submissions in whole or in part, without any further compensation to participant or any third party. Participants may be required to execute any documents necessary to perfect such rights in the Sponsors. The Contest Entities, and their respective officers, directors, employees and agents (collectively, the “Released Parties”) expressly disclaim any responsibility and participants agree to indemnify and hold harmless the Released Parties from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Contest (regardless of the cause of such injury, damage or loss), Sponsors’ use of any materials submitted by participant and/or the delivery and/or subsequent use or misuse of any of the prize awarded (including any travel or activity related thereto).

6.
