Official Rules

1. ELIGIBILITY. NO PURCHASE NECESSARY TO ENTER OR TO WIN. NO PURCHASE NECESSARY TO ENTER OR TO WIN. The “My Boys” contest (“Contest”) open to all legal residents of the 50 U.S. & D.C who are audience members at Shecky’s in Los Angeles, CA on May 21 or May 22, 2008, age 18 years or older, except employees, officers, directors and agents (and their immediate families (spouse, parent, child, sibling and their respective spouses) and household members (whether or not related)) of Superstation, Inc., (the “Sponsor”), Shecky’s Media, Inc. and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, judges, advertising and promotion agencies and affiliated entities (collectively, with the Sponsor, "Contest Entities"). Void wherever prohibited by law. Contest is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Contest, entrants agree to accept and be bound by all terms of these Official Rules and Regulations (“Official Rules”).

2. HOW TO ENTER: From 9:00p.m. Pacific Time (“PT”) on May 21, 2008 through 11:59p.m. PT on May 22, 2008 (the “Entry Period”), Sponsor will conduct a Contest encouraging participants to enter for a chance to win the opportunity to appear on the TBS show “My Boys” (the “Show”). To enter, during the Entry Period, each participant must: (a) complete the Contest application (the “Contest Application”), including his/her name, address, phone number (including the area code), e-mail address, birth date and other requested information; (b) provide one (1) form of currently valid, government-issued picture ID showing participant’s current address; (c) sign the provided release form; (d) pick up and read a copy of the Official Rules from the audition location; and (e) perform a scene (which will be audio/video recorded by Sponsor) from the show “My Boys” (the “Audition”) from a script provided to participants at the audition location (participants will have several scripts from which to choose) (collectively, the “Entry Materials”). Sponsor reserves the option to employ various pre-screening qualifiers, as it deems necessary, to facilitate the audition process. All entries must be submitted in the name of an individual person and the prize can only be awarded to the person whose name is on the winning entry. The Contest Entities are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, or other errors or problems that may limit or affect a person’s ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest, including, without limitation, errors that may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prize or in any Contest-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, or other events or causes beyond the Sponsor’s control, that corrupt the integrity, administration, security or proper operation of the Contest, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Contest. In the event of cancellation, Sponsor reserves the right, in its sole discretion, to award the prize from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the participant ineligible. All entries and Entry Materials become the property of the Sponsor and will not be acknowledged or returned. Limit one (1) entry per person. Sponsor reserves the right in its sole discretion to disqualify any participant at any time in the event it is determined an Audition is offensive, inappropriate, not in keeping with Sponsor’s image, or if it is determined that the participant has not otherwise complied with these Official Rules.

3. HOW TO WIN: Finalists (the “Finalists”) will be selected by representatives of Sponsor (the “Judges”) from among all eligible entries received during the Entry Period. Selection of the Finalists will be based equally upon the following criteria: (i) stage presence; (ii) confidence level; and (iii) enthusiasm (collectively, the “Judging Criteria”). Each Finalist will be notified on-site on the day of his/her Audition and will be required to fulfill all requirements set forth herein or such Finalist’s place will be forfeited and awarded to a another participant. Finalists may be required to pass a civil, criminal and financial background check and may be disqualified if such check reveals anything, in Sponsor’s discretion, that merits such action.

Judging: Beginning on or around June 2, 2008 at 12:00p.m. Eastern Time (“ET”) (9:00a.m. PT) and ending on June 23, 2008 at 11:59p.m. ET (8:59p.m. PT) (the “Finals Voting Period”), the taped Auditions of the Finalists will be made available [via a link on the “My Boys” myspace page located at www.myspace.com/myboys] (the “Website”), where visitors (each a “Visitor”) to the Website who are registered members of myspace.com will be able to link to and allowed to vote on their favorite Audition. Each Visitor will be allowed one (1) vote per day. Votes generated by script, macro or other automated means or with the intent to impair the integrity of voting process will be void. The one participant whose Audition has the highest total of online votes, as determined by Sponsor at the end of the Finals Voting Period, will be declared the potential Grand Prize Winner (the “Grand Prize Winner”). The Grand Prize Winner will be declared pending verification of eligibility and compliance with these Official Rules. Participants acknowledge and understand that Released Parties are not responsible for any unauthorized use by a third party of any Audition.

In the event of a tie in any round, an additional “tie-breaking” Judge will judge such tied participants’ Auditions based on the Judging Criteria. The decisions of the Sponsor and Judges in all rounds will be final and binding in all matters.

4. PRIZES: One (1) Grand Prize Winner will receive a two (2) day/one (1) night trip to Los Angeles, CA, for two (2) to tape a scene for the Show (the “Scene”), at an approximate retail value (“ARV”) of up to Two Thousand Four Hundred Dollars ($2,400). The trip will include the following: (a) round-trip coach-class air transportation for two (2) from the major U.S. gateway airport nearest the Grand Prize Winner’s residence to a Los Angeles, CA area airport; (b) one (1) room, double-occupancy standard hotel accommodations for two (2) at a Los Angeles, CA area hotel, for one (1) night; (c) round-trip ground transportation between the hotel and airport; and (d) the opportunity to visit the set of the Show and film his/her Scene that may appear in an episode of the Show. Actual value of Grand Prize may vary based on point of departure and airfare fluctuations. If the Grand Prize Winner resides within a 100-mile radius of Los Angeles, Sponsor reserves the right to provide ground transportation in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. The Grand Prize Winner is responsible for all costs and expenses not expressly provided for above, including, without limitation, additional ground transportation, additional meals, incidentals, tips, telephone calls, souvenirs, other personal expenses and hotel charges incurred during the trip. All travel arrangements must be made through Sponsor’s agent on a carrier of Sponsor’s choice and trip must be booked a minimum of forty-five (45) days in advance. Dates are subject to availability and certain black-out dates and other travel restrictions may apply. Sponsor reserves the right to approve any travel dates and trip must be taken by June 18, 2009. Sponsor is not responsible for any travel related delays or cancellations. Should circumstances prevent or limit the opportunity to film the Grand Prize Winner as a part of the Grand Prize, or if filming does not take place after the scheduling of the Grand Prize trip, for any reason, the Grand Prize Winner agrees that the Contest Entities will have no obligations other than to deliver the remainder of the Grand Prize. The Grand Prize Winner’s Scene may not actually be included in a Show; decision is subject to producer’s requirements and will be made in the Sponsor’s and the producer’s sole discretion. TOTAL ARV OF PRIZE (1 PRIZE): Two Thousand Four Hundred Dollars ($2,400). No substitution or transfer of prizes or cash redemptions permitted by the Grand Prize Winner. Sponsor reserves the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, in its sole discretion. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. The Grand Prize Winner is responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. Grand Prize Winner and guest are responsible for obtaining proper documentation (e.g., valid photo ID) prior to travel. All prize details are at Sponsor’s sole discretion.

5. GENERAL RULES AND REGULATIONS: By entering this Contest, participants grant Contest Entities and their designees the right, unless prohibited by law, to use their names, cities and states of residences, voices, pictures and likenesses, without compensation, notification or approval, for the purpose of advertising and publicizing the goods and services of the Contest Entities and all matters related to the Contest, in any manner or medium, now or hereafter known, throughout the world in perpetuity. Grand Prize Winner’s travel companion must be a legal US resident and of legal age of majority in his/her state of residence (and at least age 18). The potential Grand Prize Winner and guest, will be required to execute an affidavit of eligibility, liability release, tax acknowledgment form and, except where prohibited by law, a publicity release (“Winner Documents”) and return within five (5) business days of issuance of notification. Noncompliance within this time period or failure of the potential Grand Prize Winner to respond to a notification attempt within five (5) days of such attempt may result in disqualification and, in Sponsor’s sole discretion, an alternate winner may be selected. Potential Grand Prize Winner will be disqualified and an alternate Grand Prize Winner may be selected by the Judges in the Sponsor’s sole discretion if: (i) any prize or prize notification is returned as undeliverable; (ii) the potential Grand Prize Winner declines his or her prize; (iii) the potential Grand Prize Winner is unable to travel on dates approved by Sponsor; or (iv) the potential Grand Prize Winner fails to comply with any of the Official Rules as outlined herein. With respect to the participant’s Audition and/or Entry Materials, participant hereby irrevocably grant Sponsor the non-exclusive, perpetual, worldwide right to use the Audition and/or Entry Materials, in whole or in part, alone or in combination with other material, or as a basis for new material, as Sponsor may determine in its sole discretion and for the purposes of advertising and promoting the Contest, the Show, and/or the exhibitors thereof, and to use the Audition and/or Entry Materials in connection with the Contest and/or the Show and related advertising and promotion or otherwise, but not as a direct endorsement for any product. Without limiting the generality of the foregoing, participants agree that the rights granted hereunder shall include, but not be limited to, the perpetual, worldwide right of Sponsor and its designees to use, edit, telecast, cablecast, rerun, record, publish, reproduce, license, print, distribute and/or otherwise exploit, in any language and in all media now known or hereafter devised, the Audition, Entry Materials and/or Scene in whole or in part, without any further compensation to participant. Participants may be required to execute any documents necessary to perfect such rights in the Sponsor. The Contest Entities expressly disclaim any responsibility and entrants agree to indemnify and hold harmless the Contest Entities from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever (including, without limitation any death or disability to Grand Prize Winner or Grand Prize Winner’s guest) relating to or arising in connection with participation in this Contest (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any of the prizes awarded (including any travel or activity related thereto).

6.
